BiteHR provides comprehensive HR and payroll solutions tailored for the restaurant and hospitality industry, including but not limited to payroll processing, timekeeping, employee onboarding, compliance management, documentation support, and workers' compensation coordination. Services are subject to availability and may be modified or discontinued at our discretion.

3. Eligibility and Registration

To use our services, you must:

• Be at least 18 years of age and have the legal authority to enter into binding contracts
• Represent a legitimate business entity in the restaurant or hospitality industry
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

4. User Obligations and Conduct

You agree to:

• Use our services in compliance with all applicable laws and regulations
• Provide accurate and complete information regarding your employees and business
• Promptly update information as needed to maintain accuracy
• Not use our services for any unlawful, fraudulent, or unauthorized purpose
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to our systems or data
• Not transmit viruses, malware, or other harmful code

5. Fees and Payment

Fees for our services will be communicated to you prior to engagement. You agree to pay all fees as specified in your service agreement. Payments are due as outlined in your invoice or service agreement. We reserve the right to suspend or terminate services for non-payment. All fees are non-refundable unless otherwise specified in writing.

6. Intellectual Property Rights

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and documentation, are owned by BiteHR.com and California Restaurant Group, Inc. or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

7. Confidentiality and Data Protection

We will maintain the confidentiality of your business information and employee data in accordance with our Privacy Policy and applicable laws. You acknowledge that employee data, payroll records, and other sensitive information will be processed as necessary to provide our services. Both parties agree to comply with all applicable data protection laws and regulations.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BITEHR.COM AND CALIFORNIA RESTAURANT GROUP, INC. SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or delays
• Errors or inaccuracies in content or data
• Unauthorized access to or alteration of your data

Our total liability for any claims arising from or related to our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 10. Indemnification

You agree to indemnify, defend, and hold harmless BiteHR.com, California Restaurant Group, Inc., and our officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Term and Termination

These Terms remain in effect while you use our services. Either party may terminate the service relationship at any time with written notice. We reserve the right to suspend or terminate your access immediately for violation of these Terms, non-payment, or other cause. Upon termination, you remain liable for all fees incurred prior to termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through:

• Good faith negotiations between the parties
• If unresolved, binding arbitration in accordance with the American Arbitration Association rules
• Arbitration shall take place in California
• Each party shall bear its own costs and fees

You waive any right to participate in class actions or class arbitrations.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms.

14. Severability
